Terms of Use

Please read these Terms of Use ("Terms") carefully before using SMTHUB. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. About SMTHUB

SMTHUB is an online marketplace operated by SMT Constructions LLC that connects homeowners and property managers ("Clients") with independent local contractors and tradespeople ("Pros"). SMTHUB provides the technology platform but is not a party to any agreement between Clients and Pros, and is not itself a contractor, employer, or staffing agency.

2. Definitions

• Platform – the SMTHUB website, mobile app, and all related services
• Client – a user who posts job requests and hires Pros
• Pro – a contractor, tradeesperson, or service provider who uses the Platform to find and bid on jobs
• Lead – a job request submitted by a Client that Pros may claim and respond to

3. Eligibility

You must be at least 18 years old and located in the United States to use the Platform. By registering, you represent that you meet these requirements and that the information you provide is accurate and complete.

4. Account Registration

You must create an account to access most Platform features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@smtconstructions.com if you suspect unauthorized use of your account.

You may not create more than one account per person or business entity, or create an account on behalf of another person without their authorization.

5. Pro Representations

By registering as a Pro, you represent and warrant that you:

• Hold all licenses and permits required by applicable law for the services you offer
• Carry adequate insurance for the services you perform
• Are an independent contractor and not an employee of SMT Constructions LLC
• Will perform all services professionally and in compliance with applicable law
• Have authority to bind any business entity on whose behalf you act

SMTHUB does not perform background checks on Pros. Clients are responsible for performing their own due diligence before hiring any Pro.

6. Prohibited Uses

You agree not to:

• Post false, misleading, or fraudulent information
• Use the Platform to harass, threaten, or harm other users
• Solicit users to transact off-platform to circumvent fees
• Scrape, reverse-engineer, or copy any part of the Platform
• Attempt to gain unauthorized access to other accounts or systems
• Use the Platform for any unlawful purpose
• Post unsolicited advertising or spam
• Impersonate another person or entity

7. User Content

You retain ownership of content you post (photos, messages, reviews). By posting content, you grant SMTHUB a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content in connection with operating and promoting the Platform.

You are solely responsible for the accuracy and legality of content you post. SMTHUB may remove content that violates these Terms or applicable law.

8. Payments and Fees

Payments between Clients and Pros are processed through Stripe. By using payment features, you agree to Stripe's Terms of Service. SMTHUB may charge service fees for Platform features; any applicable fees will be disclosed at the time of the transaction.

SMTHUB is not responsible for disputes about work quality or payment amounts between Clients and Pros. Those disputes are solely between the Client and the Pro.

9. No Endorsement

SMTHUB does not endorse any Pro or guarantee the quality, safety, or legality of any services offered. Any review ratings or badges displayed represent community feedback only. Clients hire Pros at their own risk. SMTHUB is not liable for damages arising from work performed by any Pro.

10. Intellectual Property

All Platform content created by SMTHUB — including logos, design, code, and text — is the property of SMT Constructions LLC and protected by copyright and trademark law. You may not reproduce or use it without written permission.

11. Account Termination

We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or otherwise poses a risk to users or the Platform, with or without prior notice. You may close your account at any time by contacting us.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SMTHUB DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SMTHUB'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF $100 OR THE TOTAL FEES PAID BY YOU TO SMTHUB IN THE PRIOR 12 MONTHS. IN NO EVENT SHALL SMTHUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14. Indemnification

You agree to indemnify and hold harmless SMT Constructions LLC, its officers, employees, and agents from any claims, damages, or expenses (including attorney's fees) arising out of your use of the Platform, your User Content, or your violation of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Ohio.

16. Modifications

We may update these Terms at any time. The updated Terms will be posted on the Platform with a revised "Last updated" date. Continued use of the Platform after changes constitutes acceptance.
